Please read these Terms of Service carefully before purchasing or using any services provided by MWJ Marketing Agency Ltd (trading as Green Solution). By placing an order or engaging our services, you agree to be bound by these terms.

2. Services We Provide

Green Solution provides professional B2B marketing services to businesses in the technology, IT, and SaaS sectors. Our services include, but are not limited to:

  • Content production and strategy
  • LinkedIn profile and company page management
  • Search engine optimisation (SEO) and paid search (SEM)
  • B2B lead generation systems
  • Fractional Chief Marketing Officer (CMO) support
  • Marketing audits and strategic roadmaps

Full details of each service, including scope, deliverables, and timelines, are set out in the relevant product listing or, where applicable, a separate Statement of Work.

3. Eligibility and Orders

By placing an order, you confirm that:

  • You are legally authorised to enter into a binding commercial agreement on behalf of your organisation
  • All information provided is accurate, current, and complete
  • You are a business customer, not a consumer (these terms are intended for B2B transactions)

We reserve the right to decline or cancel any order at our discretion, in which case a full refund will be issued promptly.

4. Pricing and Payment

All prices are stated in Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated. VAT will be added where applicable at the prevailing UK rate.

Monthly retainers are billed in advance on a recurring monthly basis from the date the retainer commences. Project packages are billed as described at the time of purchase (in full upfront or in stages as agreed).

Invoices are payable within 14 days of issue unless otherwise agreed in writing. Late payments may incur interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Service Delivery

We will use reasonable endeavours to deliver services within the timelines stated in the relevant product listing or Statement of Work. Timelines are estimates and not guarantees. Delays caused by the client's failure to provide required information, approvals, or access may extend delivery timescales, for which we accept no liability.

6. Client Obligations

To enable us to deliver services effectively, you agree to:

  • Provide accurate and complete briefing information in a timely manner
  • Respond to requests for approvals within a reasonable timeframe
  • Grant necessary access to platforms, accounts, or tools as required
  • Designate a single point of contact for day-to-day communication

7. Intellectual Property

All intellectual property in materials, strategies, and deliverables created by Green Solution remains our property until payment has been received in full, at which point ownership of the final deliverables transfers to the client as agreed.

We retain the right to use anonymised work and results for our own portfolio and marketing purposes unless you request otherwise in writing.

8. Confidentiality

Both parties agree to keep confidential all information disclosed in connection with the services that is identified as confidential or that ought reasonably to be considered confidential. This obligation survives the termination of any engagement.

9. Limitation of Liability

To the maximum extent permitted by law, Green Solution's total aggregate liability to you for any claim arising in connection with our services shall not exceed the total fees paid by you in the three months immediately preceding the event giving rise to the claim.

We shall not be liable for any indirect, consequential, incidental, or special loss or damage, including loss of profit, loss of business, loss of revenue, or loss of data, even if advised of the possibility of such loss.

Nothing in these terms excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

10. Termination

Either party may terminate a monthly retainer by giving 30 days' written notice. Upon termination, you remain liable for all fees accrued up to and including the end of the final billing period.

We may terminate immediately if you are in material breach of these terms, become insolvent, or fail to pay undisputed invoices within 30 days of the due date.

11. Warranties and Disclaimers

We warrant that our services will be provided with reasonable skill and care, consistent with industry standards for B2B marketing services. We do not guarantee specific results (such as revenue targets, search rankings, or lead volumes), as marketing outcomes depend on many factors outside our control.

12. Governing Law and Disputes

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. The revised terms will be posted on this page with an updated "last updated" date. Your continued use of our services following notification constitutes acceptance of the revised terms.
